1. Introduction and Acceptance
Welcome to Docsico.com, operated by Docsico (OPC) Private Limited ("Docsico", "Company", "we", "us" or "our").
These Terms and Conditions ("Terms") govern the use of our website and all services provided by Docsico, including but not limited to marketplace onboarding, marketplace account management, digital marketing, performance marketing, social media management, website development and maintenance, e-commerce photography, model shoots, logo creation, packaging design, graphic design, consulting and other services offered by Docsico from time to time.
By engaging Docsico, accepting a quotation or proposal, making full or partial payment, signing an agreement, providing written/electronic approval, authorising commencement of work or continuing to use our Services, the Client acknowledges that it has read, understood and accepted these Terms.
These Terms shall be read together with the applicable quotation, proposal, invoice, Scope of Work, service agreement and written communication between Docsico and the Client.
Where a specifically signed service agreement expressly conflicts with these general Terms, the specifically agreed provision shall prevail to the extent of such conflict.
2. Definitions
- Client / Customer / Seller: Any individual, proprietorship, partnership, LLP, company, organisation or other entity engaging Docsico.
- Services: Any professional service offered or provided by Docsico.
- Deliverables: Only those final outputs expressly included in the applicable quotation, proposal or Scope of Work.
- Source Files / Working Files: Editable, developmental or production resources used to produce a Deliverable, including source code, scripts, repositories, PSD, AI, Figma files, RAW photographs, editing files, templates, automation scripts and other internal/editable resources.
- Third-Party Platform: Any marketplace, advertising platform, social-media platform, payment gateway, hosting provider, domain provider, application, API or other external service not controlled by Docsico.
- Scope of Work: The services, duration, quantity and Deliverables expressly agreed between Docsico and the Client.
3. Services Provided
Docsico's Services may include:
- Digital Marketing Services
- Google Ads / PPC
- Meta Advertising
- Social Media Marketing and Management
- Website Development and Maintenance
- Shopify Development and Related Services
- Marketplace Onboarding
- Marketplace Account Management
- Amazon.in / Amazon.com Services
- Flipkart Services
- Myntra Services
- AJIO Services
- Nykaa Services
- Etsy Services
- eBay Services
- Other Marketplace Services
- E-commerce Product Photography
- Model Shoots
- Styled/Creative Shoots
- Logo Creation
- Packaging Label Design
- Graphic Design
- Brand Store Design
- A+ Content
- Consulting, training and other related business services.
The exact Scope, quantity, duration, revision entitlement and Deliverables applicable to a Client shall be determined by the relevant quotation, proposal or written agreement.
4. Scope of Work
Service specifics shall be discussed and agreed before commencement.
Docsico's quotation/pricing is based on the requirements communicated by the Client before the quotation is approved.
The Client is responsible for reviewing the Scope of Work carefully.
Any requirement not expressly included in the Scope shall be considered additional work.
Additional requirements may include, without limitation:
- additional marketplace;
- additional brand/category;
- additional listings;
- additional pages;
- additional functionality;
- additional integrations;
- additional designs;
- additional revisions;
- additional shoots;
- additional advertising work;
- redevelopment;
- account recovery;
- migration;
- historical-data recovery; and
- other activities outside the agreed Scope.
Such work may be separately quoted and charged.
5. Client Obligations
The Client shall:
- maintain open, professional and timely communication;
- provide complete and accurate information;
- provide genuine and valid documentation;
- provide required account credentials/access;
- provide products, content, photographs and other inputs on time;
- follow reasonable Docsico recommendations and operational guidelines;
- maintain adequate stock, particularly of bestselling products;
- maintain appropriate product/service quality to minimise returns and complaints;
- comply with applicable marketplace/platform policies;
- notify Docsico of previous or concurrent onboarding activities;
- disclose relevant activities involving Etsy, eBay, PayPal, Payoneer or other applicable platforms;
- provide timely approvals;
- avoid uncoordinated changes that interfere with Docsico's work;
- maintain its own copies of important information and credentials; and
- make payments according to agreed terms.
Failure to fulfil Client obligations may affect performance, timelines and refund eligibility to the extent permitted by applicable law.
6. Service Operations and Working Methodology
Unless otherwise agreed for a particular Client, ongoing account-management Services may be provided a minimum of approximately three times per week for approximately one hour per session, or according to the Client's specific service plan.
Actual internal work may also occur outside visible marketplace/account activity.
Docsico determines the reasonable methodology, workflow, employee allocation and internal resources used to deliver the agreed Service.
Services are generally not provided on major holidays and non-working days unless specifically agreed.
Docsico does not ordinarily operate through Client-controlled remote-access software such as AnyDesk. Where remote access is technically required, Docsico may decide whether an alternative secure arrangement is appropriate.
7. Marketplace Onboarding
The Seller must provide all necessary documents, images and other required materials within the requested timeframe. These may include:
- business registration documents;
- GST/tax information;
- licences;
- product images;
- brand documentation;
- certifications;
- banking/payment information;
- product details; and
- marketplace-specific documents.
The Seller is responsible for ensuring that all information and documentation supplied is accurate, genuine, current and compliant.
Docsico provides professional onboarding assistance and coordination.
Final marketplace approval is controlled by the relevant marketplace and not by Docsico.
Docsico cannot compel any marketplace to approve:
- a seller;
- a brand;
- a product;
- a category;
- an account; or
- any application.
Marketplace rejection or delay caused by eligibility criteria, Client documentation, previous account history, platform policy or other circumstances outside Docsico's reasonable control shall not automatically constitute failure of Docsico's Service.
8. Previous / Parallel Onboarding Disclosure
The Client must disclose previous, pending or simultaneous account-registration/onboarding attempts that may affect Docsico's work.
This includes relevant activity involving marketplaces, payment providers and connected services such as Etsy, eBay, PayPal and Payoneer.
Failure to disclose material previous activity may affect the Service and refund eligibility to the extent permitted by law.
9. Timely Communication During Onboarding
The Seller must respond promptly to requests for additional information, documents, verification or clarification.
Client-side delays or non-cooperation shall reasonably extend the Service timeline.
Such Client-side delays shall not by themselves create an entitlement to refund or reimbursement.
10. Marketplace Account Management
Docsico may provide listings, content optimisation, advertisements, promotions, account-health monitoring, performance tracking and other account-management activities according to the applicable package.
The Seller remains responsible for:
- inventory;
- pricing;
- product quality;
- fulfilment;
- returns;
- customer complaints;
- statutory compliance;
- tax compliance; and
- other Seller-controlled business decisions.
Docsico shall not be responsible for performance deterioration resulting from Seller-controlled matters.
11. Marketplace Suspension and Restrictions
Docsico shall not be responsible for marketplace suspension, restriction, deactivation or rejection caused by:
- Client actions;
- incorrect/incomplete documents;
- prohibited products;
- policy violations;
- previous account history;
- linked or duplicate accounts;
- Client-controlled account changes;
- undisclosed onboarding attempts;
- marketplace policy changes; or
- circumstances outside Docsico's reasonable control.
Where reinstatement assistance is separately agreed, Docsico may assist but cannot guarantee successful reinstatement.
12. Stock, Holiday Mode and Business Discontinuation
The Client is responsible for maintaining adequate inventory.
If the Client:
- runs out of stock;
- cannot replenish inventory;
- activates holiday mode;
- stops selling;
- discontinues business operations; or
- otherwise prevents normal account activity,
Docsico shall not be responsible for resulting loss of performance, ranking, visibility, revenue or sales.
Such Client-controlled circumstances shall also be considered when assessing refund eligibility.
13. Digital Advertising — Google Ads, Meta Ads and PPC
Advertising budgets are separate from Docsico's professional/service fee unless expressly stated otherwise.
The Client must provide and maintain the required advertising budget.
Campaign strategy and budgets may be customised according to marketplace, category, competition and business requirements.
Results depend upon numerous factors including:
- product;
- pricing;
- offer;
- website;
- landing page;
- competition;
- budget;
- creative;
- audience;
- demand;
- seasonality; and
- platform algorithms.
Unless specifically guaranteed in writing, Docsico does not guarantee any particular:
- CPL;
- ROAS;
- number of leads;
- number of orders;
- conversion rate;
- revenue;
- profitability; or
- campaign result.
Docsico shall not be responsible for platform restrictions, advertisement rejection, payment failure, advertising-account suspension or algorithm/policy changes outside Docsico's reasonable control.
Ad spend must be paid separately by the Client and, where required, in advance.
If the Client stops the agreed advertising budget, revokes required access or otherwise prevents campaign operation, Docsico shall not be responsible for resulting performance or refund claims attributable to such action.
Once campaigns are live, substantial changes outside the agreed strategy or Scope may be separately chargeable.
14. Social Media Marketing and Management
The Client must provide access to required social-media accounts/pages before Service commencement.
Content calendars, creatives or planned content may be shared for approval where applicable.
Delay in Client approval may affect the posting schedule without creating liability on Docsico.
Social-media results depend on platform algorithms, audience behaviour, competition, content, advertising investment and market conditions. Docsico therefore does not guarantee any specific:
- followers;
- reach;
- views;
- engagement;
- leads;
- enquiries;
- sales; or
- commercial outcome.
If the Client revokes account/page access or stops an agreed advertising budget midway, Docsico shall not be responsible for resulting Service interruption.
Once content or campaigns are approved and implemented, substantial modifications outside the agreed Scope may be chargeable.
15. Website Development — Client Requirements
Clients must provide complete website requirements before and during development according to Docsico's instructions. Required information may include:
- references;
- content;
- images;
- products;
- categories;
- functionality;
- integrations;
- business information;
- policies;
- credentials; and
- other project-specific material.
Once website design, features and functionality are approved, substantial changes or redevelopment may be separately chargeable.
16. Website Development Timeline
Website-development timelines are estimates.
Timelines depend upon timely:
- Client approvals;
- content submission;
- image submission;
- credential/access submission; and
- Client feedback.
Timelines may also be affected by third-party applications, hosting, servers, APIs, integrations or platform changes.
Client-side or third-party delays shall reasonably extend the project timeline without liability to Docsico.
17. Website Source Code and Intellectual Property
Unless expressly agreed otherwise in a separate written agreement, all underlying:
- custom source code;
- reusable code;
- scripts;
- modules;
- libraries;
- technical architecture;
- development frameworks;
- templates;
- automation;
- utilities;
- internal development resources;
- proprietary systems;
- development methodology; and
- reusable technical components
created, owned or used by Docsico shall remain the intellectual property of Docsico (OPC) Private Limited.
Payment of website-development charges does not automatically constitute purchase, assignment or transfer of Docsico's source code or proprietary development intellectual property.
The Client purchases only the website functionality and final Deliverables specifically included in the agreed package.
18. Source Code Is Not a Standard Deliverable
Source code, repositories, development files, internal scripts, reusable modules, internal technical resources and other working/development material are not supplied to the Client by default.
Administrative access to operate a website does not constitute ownership or assignment of Docsico's underlying source code.
19. Optional Source-Code / Intellectual-Property Transfer
Source code, repository access, development files and other Docsico-owned technical material are not included as standard Deliverables under website-development Services.
If the Client specifically requests ownership or handover of any source code, repository or other Docsico-owned development material, such request shall be considered separately by Docsico.
Docsico shall have the sole discretion to accept or decline such request, subject to applicable law and the specific circumstances of the project.
Where Docsico agrees to provide or transfer any such source code or intellectual-property material:
- additional charges shall apply;
- the applicable charges shall be determined separately by Docsico based on the nature, scope and value of the material requested;
- the Client must make the applicable payment in full before such transfer or handover;
- the exact source code, files, material and rights being transferred shall be clearly identified in a separate written agreement; and
- no ownership or intellectual-property rights shall transfer unless expressly confirmed in that separate written agreement.
Payment of additional charges by itself shall not be treated as automatic transfer of ownership unless Docsico has expressly agreed in writing to the specific transfer.
Any Docsico-owned material that is not expressly identified as part of the agreed transfer shall continue to remain the exclusive property of Docsico. This includes, without limitation:
- pre-existing source code;
- reusable code;
- reusable modules;
- frameworks;
- libraries;
- internal scripts;
- automation;
- templates;
- development tools;
- technical methods;
- development processes;
- know-how; and
- other reusable or independently developed resources.
Accordingly, even where Docsico agrees to transfer specific project-related source code to a Client against additional charges, such transfer shall not automatically include Docsico's broader reusable technology, internal development resources or proprietary know-how unless expressly agreed in writing.
20. Client-Owned Website Material
The Client continues to own its original:
- trademarks;
- logos;
- product information;
- original photographs;
- business data;
- Client-created content; and
- other original Client-owned material supplied to Docsico.
The Client authorises Docsico to use such material as reasonably necessary to perform the Service.
Third-party themes, applications, plugins, APIs, fonts and other external technology remain subject to the licences of their respective owners.
21. Website Bug Support
Unless otherwise agreed, bugs attributable to Docsico and reported within 15 days after website handover shall be reviewed and corrected without additional professional charges.
"Bug fixing" does not include:
- new features;
- additional pages;
- redesign;
- changed Client requirements;
- new integrations;
- platform updates;
- third-party application issues;
- hosting issues; or
- modifications performed by another developer.
Such work may be separately chargeable.
Where another developer or unauthorised third party modifies the website, Docsico may discontinue free support for affected functionality.
22. Website Domain, Hosting and Third-Party Services
Hosting, domain registration/renewal and website maintenance are the Client's responsibility unless separately contracted.
Paid themes, applications, plugins, APIs, licences and third-party subscriptions are excluded unless expressly included.
Docsico shall not be responsible for third-party hosting/server issues, downtime, domain problems, application failures or other external service problems outside Docsico's reasonable control.
23. Photoshoot Services
Clients must clearly communicate:
- shoot requirements;
- references;
- product details;
- model preferences;
- styling;
- background;
- creative direction; and
- expected Deliverables
before the scheduled shoot.
Docsico shall not be responsible for delays caused by:
- late product delivery;
- missing samples;
- incomplete products;
- incomplete brief;
- delayed approvals; or
- other Client-side issues.
Where the Client approves a model, concept, reference, styling or creative direction, Docsico may rely upon such approval.
Subsequent dissatisfaction arising solely because the Client changes an earlier approved preference shall not establish an error by Docsico.
Once a shoot is completed, a reshoot shall normally be chargeable unless Docsico determines that a material error was solely attributable to Docsico.
24. Photoshoot Cancellation
If the Client cancels or materially reschedules a photoshoot within 48 hours of the scheduled shoot, Docsico may charge a reasonable cancellation/rescheduling fee considering resources, studio, model, photographer and other arrangements already committed.
Any non-recoverable third-party expenses already incurred may also be payable by the Client to the extent permitted by applicable law.
25. Photoshoot RAW Files and Ownership
RAW photographs, unedited images, rejected photographs, unused photographs, unused footage, editing files and production/working files are not standard Deliverables unless specifically agreed.
Only the final edited Deliverables included in the purchased package shall ordinarily be provided.
Rights in final Client-specific photographs that are expressly transferable under the applicable package shall transfer only after full payment, subject to any third-party rights and the applicable agreement.
Docsico may separately charge for RAW files, additional formats or working files where Docsico agrees to provide them.
After handover, Docsico shall not be responsible for subsequent editing, alteration or misuse of photographs by the Client or any third party.
26. Logo Creation
The Client must provide:
- brand name;
- tagline, where applicable;
- preferred colours;
- references; and
- other necessary inputs.
Unless otherwise specified in the quotation, the standard logo package may include approximately 2–3 design concepts and up to 2 rounds of revisions.
Additional concepts/revisions may be separately chargeable.
Final standard logo files may include formats such as JPEG, PNG and PDF according to the package.
Editable/source files such as AI or PSD shall only be supplied where expressly included or separately purchased.
Docsico's logo-design Service does not automatically include trademark registration or legal trademark clearance.
The Client is responsible for obtaining appropriate trademark/legal searches before adopting the logo commercially.
Once a logo has been approved and finalised, subsequent changes of preference or dissatisfaction do not automatically entitle the Client to free redesign or refund.
27. Packaging Label Design
The Client must provide accurate:
- product specifications;
- ingredients;
- disclaimers;
- mandatory declarations;
- dimensions;
- legal information; and
- other required content.
Any error resulting from incorrect, incomplete or missing Client-supplied information shall remain the Client's responsibility.
Unless otherwise agreed, up to 2 rounds of design revisions may be included.
Additional revisions may be chargeable.
Final designs may be provided in the agreed print-ready format.
Docsico is not responsible for final print quality or errors introduced by third-party printers after delivery.
Docsico does not guarantee acceptance by any marketplace or regulatory authority where rejection results from missing/inaccurate Client information, changed requirements or matters outside Docsico's reasonable control.
28. Graphic Design Services
The Client must provide clear briefs, dimensions, text, logos, brand guidelines and other required material.
Minor textual corrections may be accommodated during included revision rounds.
Major redesigns, changed concepts or substantial additional requirements may be treated as additional work.
Turnaround depends upon timely Client content and approvals.
Final transferable rights in specifically commissioned Client Deliverables arise only after full payment and subject to these Terms and any third-party rights.
Docsico may use completed/public work in its professional portfolio unless otherwise agreed in writing.
29. Design Source Files and Unused Concepts
Editable/source/working files including:
- AI;
- PSD;
- Figma;
- templates;
- internal working files;
- production files;
- rejected designs;
- unused concepts; and
- development-stage material
are not automatically Client Deliverables.
Source/editable files may be separately chargeable.
Rejected designs, unused concepts, internal drafts and Docsico templates remain Docsico's property unless expressly transferred in writing.
30. Brand Store and A+ Content
Unless another package is agreed:
Brand Store
- Up to three reference/design directions may be presented.
- Up to two rounds of revisions may be included.
A+ Content
- Up to two reference/design directions may be presented.
- One round of revision may be included.
Additional revisions or redesigns may be chargeable.
Implementation and availability remain subject to marketplace eligibility and technical rules.
31. Client-Provided Material and Intellectual Property
The Client represents that it owns or has permission to use material supplied to Docsico, including:
- photographs;
- videos;
- logos;
- trademarks;
- designs;
- music;
- text;
- claims;
- certifications; and
- other content.
The Client shall be responsible for infringement or compliance issues arising from Client-supplied material or specific Client instructions, except to the extent caused independently by Docsico.
32. Docsico Internal Processes and Know-How
Engaging Docsico does not transfer ownership of Docsico's:
- internal SOPs;
- processes;
- strategy documents;
- worksheets;
- scripts;
- templates;
- checklists;
- advertising methodology;
- marketplace methodology;
- research;
- automation;
- internal tools;
- reporting structures;
- employee instructions;
- technical methodology; or
- proprietary know-how.
The Client purchases the agreed Service and Deliverables, not Docsico's internal operating methodology.
33. Confidentiality
Docsico shall take reasonable measures to maintain confidentiality of Client information received for Service delivery.
The Client shall similarly maintain confidentiality of Docsico's non-public:
- pricing;
- proposals;
- source code;
- internal documents;
- processes;
- strategies;
- systems;
- credentials;
- methodologies; and
- proprietary information.
Confidential information may be disclosed where reasonably required for Service delivery, professional advice, legal compliance or where authorised.
34. Advertising Budgets
Advertising budgets are separate from Docsico's Service fees unless expressly included.
The Client is responsible for funding advertising accounts and related third-party expenditure.
Recommended budgets may vary by marketplace, category, competition and Client objectives.
35. Performance Reporting
Where reporting forms part of the Service, reports may ordinarily be shared between the 1st and 10th of the following month, unless otherwise agreed.
Third-party analytics/reporting subscriptions are not included unless expressly stated.
Reporting differences arising from third-party systems shall not automatically constitute Docsico error.
36. Payment Terms
Payments shall be made according to the applicable quotation, invoice or agreed payment schedule.
Payments may be processed through PhonePe or other authorised payment methods/gateways used by Docsico.
Docsico may suspend or pause work where payment becomes overdue.
Advertising budgets, marketplace charges, domains, hosting, applications, licences, themes, plugins, payment-gateway charges and other third-party costs are separate unless expressly included.
Applicable taxes shall be charged according to law.
Ownership/licensing rights in Deliverables that are expressly transferable shall arise only after full payment for the relevant Service.
37. Refund Policy — General Principle
Docsico provides customised professional Services involving allocation of manpower, management time, technical resources, creative resources, planning, consultation and operational capacity.
Accordingly, payment does not create an unconditional right to cancellation or refund.
Any request for refund or cancellation must be made in writing together with the reason and relevant information.
Where applicable to the particular Service, dissatisfaction should ordinarily be communicated within three (3) days of payment or commencement of the relevant Service, as applicable.
Submission of a refund request does not mean that a refund has been approved.
Docsico shall assess the request considering:
- agreed Scope;
- work completed;
- work initiated;
- resources/manpower allocated;
- consultation provided;
- third-party expenses;
- Client cooperation;
- Client delays;
- documents/information supplied;
- Client approvals;
- platform actions; and
- contractual obligations.
Nothing in this Refund Policy is intended to remove any mandatory remedy available under applicable law.
38. Refund — Normally Ineligible Circumstances
Subject to applicable law and any specific written commitment, a refund will ordinarily not be available where:
- work has substantially commenced or been completed;
- resources have been materially allocated;
- the Client changes its mind or business strategy;
- the Client discontinues business;
- required documents/information/products/images are not supplied;
- Client information is inaccurate, incomplete or non-compliant;
- Client delays prevent completion;
- the Client does not cooperate;
- credentials are changed or Docsico access is revoked;
- another agency/person interferes with Docsico's work;
- marketplace/platform approval is rejected, restricted, suspended or delayed for reasons outside Docsico's reasonable control;
- the Seller fails to maintain stock;
- the Seller activates holiday mode;
- marketplace/platform guidelines are violated;
- previous/parallel onboarding is not disclosed;
- Client product/category/business fails third-party eligibility;
- the Client approves a model, design, website functionality, creative direction, campaign or other Deliverable and subsequently changes its preference;
- the Client terminates the Service early for reasons not attributable to material breach by Docsico; or
- another exclusion is expressly stated in the applicable proposal/agreement.
39. Refund Calculation
Where Docsico approves a refund, the amount may be calculated after considering, to the extent permitted by law:
- Services already performed;
- professional time utilised;
- work already completed;
- manpower/resources consumed;
- approved third-party costs;
- non-recoverable external expenditure;
- applicable tax treatment;
- outstanding Client dues; and
- other lawfully adjustable amounts.
An approved refund therefore need not equal the original amount paid.
Where a specific quotation or agreement contains a separate written refund commitment, that commitment shall apply according to its stated conditions.
40. Refund Approval and Settlement Period
A refund shall be treated as approved only when Docsico communicates final written approval.
A complaint, request, discussion or acknowledgement does not itself constitute refund approval.
Once finally approved, the approved refundable amount shall ordinarily be processed and settled within up to twelve (12) weeks from the date of final written refund approval, subject to necessary reconciliation, documentation, payment verification and banking/payment-gateway formalities.
The twelve-week period begins from the date of final written approval, not the date on which the Client first requests or discusses the refund.
Where applicable law requires a shorter mandatory refund period, the applicable legal requirement shall prevail.
Additional processing time attributable solely to a bank, payment gateway or financial institution after Docsico has initiated payment is outside Docsico's reasonable control.
41. No Verbal Refund Approval
No informal or verbal statement by an employee, salesperson, consultant or representative shall constitute final refund approval.
Refund approval must be confirmed through authorised written communication from Docsico.
42. Client Cancellation and Early Termination
For ongoing Services, the Client must follow any notice requirement specified in the applicable agreement.
Pausing Services does not automatically extend a fixed Service period unless Docsico agrees otherwise in writing.
Where the Client voluntarily stops or terminates Services after work/resources have been committed, Docsico shall remain entitled to payment for Services performed and other amounts lawfully due.
43. Termination / Suspension by Docsico
Docsico may suspend or terminate Services where the Client:
- fails to pay;
- repeatedly fails to cooperate;
- provides false/misleading information;
- requests unlawful activity;
- materially breaches the agreement;
- abuses, threatens or harasses Docsico employees;
- materially interferes with Service delivery;
- misuses Docsico intellectual property;
- removes necessary access; or
- creates material legal or commercial risk for Docsico.
Termination does not extinguish amounts already lawfully due.
44. Service Completion and Handover
At completion, expiry or termination of a Service, Docsico shall provide or return Client-controlled credentials and final Deliverables included in the agreed Scope and reasonably available at handover.
Unless otherwise agreed, Docsico's active Service responsibility shall ordinarily end within 24 hours after final completion/handover confirmation.
The Client is responsible for:
- verifying account access;
- verifying handover;
- downloading supplied files;
- storing Deliverables securely;
- recording usernames/passwords;
- maintaining backups; and
- changing passwords where appropriate.
After handover, responsibility for Client-controlled accounts, credentials, Deliverables and data transfers to the Client.
Any additional post-handover support may require a new Service agreement or additional charges.
45. No Permanent Data or Credential Retention Obligation
Docsico is not the Client's permanent data-storage, password-storage, credential-management, backup or archival provider unless separately contracted in writing.
Following completion, expiry, termination or final handover, Docsico has no contractual obligation to permanently retain, preserve, archive, recreate or subsequently supply Client project data or credentials, subject to applicable legal obligations. This includes:
- marketplace usernames/passwords;
- website credentials;
- hosting/domain credentials;
- social-media credentials;
- advertising-account information;
- product information;
- marketplace listing data;
- photographs;
- videos;
- edited photographs;
- reports;
- spreadsheets;
- catalogue files;
- final designs;
- documents;
- project files; and
- other Service-related information.
The Client is responsible for maintaining its own permanent records and backups.
46. Old Data / Credential Requests
If a Client subsequently requests old data, photographs, files, credentials or other material after handover, Docsico may attempt to locate the material only if it remains reasonably available.
Docsico does not guarantee historical availability.
Where material was previously supplied or made available to the Client, Docsico's later inability to provide another copy shall not by itself constitute Service deficiency.
Archive searching, restoration, account recovery, migration, recreation or re-supply may be treated as a new chargeable Service.
47. Data Deletion After Handover
Subject to applicable law, legitimate business requirements, dispute preservation, contractual records and applicable privacy/data-retention requirements, Docsico may delete or securely dispose of Client project data after completion/handover.
The Client must therefore not assume that Docsico will indefinitely preserve information or Deliverables.
Docsico may retain information where reasonably necessary or legally required for:
- taxation;
- accounting;
- invoices;
- contractual records;
- fraud prevention;
- dispute resolution;
- litigation;
- legal claims;
- regulatory compliance; or
- enforcement of contractual rights.
Docsico cannot guarantee deletion of information independently retained by third-party platforms or service providers.
48. Photoshoot Data After Handover
The Client must download and safely preserve final photographs/videos after delivery.
Docsico is not required to permanently retain photoshoot data.
If the Client later loses its copy and Docsico still possesses an archived copy, Docsico may choose to retrieve/re-supply it and may charge reasonable retrieval/processing fees.
Availability is not guaranteed.
49. Marketplace Credentials After Handover
The Client remains the ultimate owner/controller of its marketplace account.
At handover, the Client must verify that it has the necessary account access.
After handover, Docsico shall not be responsible for:
- forgotten passwords;
- changed passwords;
- expired OTP access;
- changed telephone numbers;
- changed email addresses;
- lost authenticator access;
- Client-employee credential changes;
- unauthorised third-party access;
- marketplace security changes; or
- subsequent account-recovery requirements.
Post-Service account-recovery assistance may be separately chargeable.
50. Website Handover Does Not Transfer Source Code
Website handover, administrative access or operational control does not override Sections 17–19.
Handover does not automatically transfer Docsico's source code, internal scripts, proprietary development resources, reusable modules, internal tools, templates, automation or development methodology.
Source-code/IP transfer must be separately agreed in writing and may require additional payment.
51. Post-Handover Responsibility
Following handover, Docsico is no longer responsible for subsequent:
- account modifications;
- password changes;
- data loss;
- unauthorised access;
- marketplace suspension;
- policy violations;
- website modifications;
- campaign changes;
- third-party modifications;
- performance decline; or
- Client operational decisions
unless Docsico has separately been contracted to continue managing the relevant Service.
52. Portfolio Rights
Unless expressly restricted in writing, Docsico may identify the Client as a customer and display completed/public work in its:
- portfolio;
- website;
- social media;
- presentations;
- case studies; and
- business-development material.
Docsico shall not intentionally publish confidential Client credentials, private financial information or non-public sensitive information for portfolio purposes.
53. Third-Party Services and Tools
Docsico may use third-party tools and services including Google Analytics, Meta Pixel and other platforms necessary for Service delivery.
Docsico does not control marketplace algorithms, advertising platforms, social networks, hosting providers, payment gateways or other external systems.
Docsico shall not be responsible for problems originating solely from third-party services outside its reasonable control.
Third-party policy or technology changes requiring additional work outside the original Scope may be separately chargeable.
54. No Guarantee of Commercial Results
Unless expressly guaranteed in a separate written agreement, Docsico provides professional Services on a reasonable-efforts/best-efforts basis.
Case studies, previous performance, forecasts, estimates, presentations or sales discussions do not guarantee future results.
Docsico does not guarantee:
- revenue;
- profit;
- sales;
- rankings;
- leads;
- followers;
- advertising returns; or
- business growth
where such outcomes depend upon factors beyond Docsico's exclusive control.
55. Client Compliance with Law
The Client is responsible for ensuring that its products, business activities, packaging, licences, certifications, taxes, advertising claims and Services comply with applicable local, state, national and international laws wherever applicable.
Docsico shall not be liable for legal consequences arising from Client non-compliance.
Docsico's operational assistance does not constitute legal, accounting, taxation or regulatory advice.
56. Limitation of Liability
To the maximum extent permitted by applicable law, Docsico shall not be liable for indirect, incidental, special or consequential damages, including:
- loss of profit;
- loss of revenue;
- business interruption;
- loss of opportunity;
- loss of anticipated savings; or
- loss of goodwill.
Where contractual liability is legally established against Docsico for a particular paid Service, Docsico's aggregate contractual liability shall, to the extent legally permissible, be limited to the professional/service fee actually paid to Docsico for the specific Service giving rise to the claim.
Nothing in these Terms excludes liability or statutory rights that cannot lawfully be excluded.
57. Client Responsibility / Indemnity
To the extent permitted by applicable law, the Client shall be responsible for claims, costs, losses or liabilities arising from:
- unlawful Client products/services;
- false Client information;
- Client-supplied intellectual-property infringement;
- Client marketplace-policy violations;
- Client misuse of Deliverables;
- Client regulatory non-compliance; or
- unauthorised Client actions/instructions.
Nothing in this clause excludes liability that applicable law determines must remain with Docsico.
58. Force Majeure
Neither party shall be responsible for delay or failure caused by circumstances beyond reasonable control, including:
- natural disasters;
- government action;
- war;
- civil disturbance;
- strikes;
- pandemics;
- widespread internet/infrastructure failures;
- major platform outages; or
- similar force-majeure events.
Affected Service timelines shall be reasonably extended.
59. No Waiver
Failure by Docsico to immediately enforce any provision shall not constitute permanent waiver of that provision or any other contractual right.
Any waiver must be expressly confirmed in writing.
60. Severability
If any provision is determined to be invalid or unenforceable, it shall be interpreted, modified or severed to the minimum extent necessary, while the remaining Terms continue in effect.
61. Entire Contractual Framework
These Terms shall be read together with the applicable:
- signed Service Agreement;
- accepted quotation/proposal;
- invoice;
- Scope of Work; and
- other expressly agreed written Service terms.
In case of an express conflict, the following priority shall ordinarily apply:
- specifically signed Service Agreement;
- specifically accepted quotation/proposal;
- these general Terms and Conditions.
Informal discussions do not amend an expressly agreed written Scope unless subsequently confirmed in writing.
62. Amendments to Terms
Docsico may update these website Terms from time to time to reflect changes in Services, technology, business practices or applicable requirements.
Revisions shall apply prospectively in accordance with applicable law.
A general website update shall not retrospectively override a specific written contractual commitment where such change is not legally or contractually permissible.
63. Governing Law and Jurisdiction
These Terms and the contractual relationship between Docsico and the Client shall be governed by the laws of India.
Subject to applicable law and any mandatory jurisdiction that cannot legally be excluded, disputes arising from Docsico's Services or these Terms shall be subject to the jurisdiction of the competent courts at Surat, Gujarat, India.

Client Acknowledgement
By accepting a quotation/proposal, making full or partial payment, authorising commencement of work, purchasing a Service or continuing to use Docsico's Services, the Client acknowledges that it has had an opportunity to review the applicable Scope of Work and these Terms and Conditions and agrees to be bound by them, subject to applicable law.
