1. Introduction
Welcome to Docsico.com, operated by Docsico (OPC) Private Limited ("we," "us," or "our"). These Terms and Conditions govern your use of our website and services, including digital marketing, social media marketing, website development, eCommerce account management, and eCommerce photoshoots.
By engaging our services, you agree to these Terms. If you do not agree, please do not use our services.
2. Definitions
- Client/Seller: Any individual or entity using Docsico's services.
- Services: Docsico (OPC) Private Limited offers a variety of services, including but not limited to:
- Digital Marketing Services
- Social Media Marketing (Facebook, Instagram, LinkedIn, etc.)
- Website Development & Maintenance
- E-commerce Account Management (Amazon, Flipkart, Myntra, etc.)
- E-commerce Photoshoots
- Logo Creation, Packaging Design, and Graphic Design
These services are provided in accordance with the agreed-upon terms as outlined in the individual project contract.
Agreement: These Terms and Conditions.
3. Service Scope and Deliverables
Docsico (OPC) Private Limited provides a variety of services tailored to businesses looking to enhance their digital presence. The following are our key service offerings:
- We provide customized digital marketing strategies, including Google Ads, Meta Ads, and more, aimed at increasing visibility, engagement, and conversions for your brand.
- We design, develop, and maintain websites that are user-friendly, responsive, and optimized for search engines, catering to your specific business requirements.
- Our team offers end-to-end management of your eCommerce accounts, including product listings, content optimization, ad campaigns, and performance tracking across platforms such as Amazon, Flipkart, Myntra, and others.
- We provide professional product photography, model shoots, and styled shoots to help enhance the visual appeal of your products for online marketplaces and your website.
- We manage social media accounts across platforms like Facebook, Instagram, and LinkedIn, creating engaging content and ad campaigns to grow your brand’s presence.
- We offer logo design services, including multiple design options, revisions, and delivery of finalized logos in various file formats.
- We design packaging labels that adhere to the legal and marketing requirements of your product and brand, ensuring a professional look and compliance with regulations.
- Our graphic design services include the creation of banners, brochures, posts, and other visual content to enhance your brand's appeal and messaging.

Service specifics are discussed and agreed upon before initiation.
For Web Development Services:
- Clients must provide complete project requirements at the start.
- Once the website design, features, and functionalities are finalized, major changes will be chargeable separately.
- Website development timelines are estimates and depend on timely approvals, feedback, and content submission from clients.
- Any delay in content, images, or approvals from the client side will extend the delivery timeline without agency liability.
- Post-handover, any bugs reported within 15 days will be fixed free of cost; after that, support will be chargeable.
- Hosting, domain renewals, and website maintenance are the client's responsibility unless separately contracted.
- The agency is not liable for third-party hosting server issues, downtime, or domain problems.
For Social Media Marketing Services:
- Clients must provide access to all necessary social media pages/accounts before campaign initiation.
- Content calendars and creatives will be shared for approval in advance; delay in approval will affect posting timelines.
- Results (followers, engagement, leads, or sales) may vary depending on platform algorithms and audience behavior; no performance guarantees are provided.
- Ad spend budgets are separate from service fees and must be prepaid by clients.
- If the client revokes page access or stops the ad budget midway, the agency will not be liable for refunds.
- Once ads go live, editing or modifying campaigns outside of agreed strategy will require additional charges.
For Photoshoot Services (Product/Model Photography):
- Clients must clearly communicate shoot requirements, references, and product details before the scheduled shoot.
- The agency is not responsible for delays caused by late product deliveries, missing samples, or unapproved briefs.
- Once a shoot is completed, reshoots will be chargeable unless the error is solely from the agency side.
- Raw images are not shared by default; only edited final deliverables will be provided unless agreed otherwise.
- Ownership of the final photographs is transferred upon full payment. Until then, the agency retains rights.
- If client cancels a photoshoot within 48 hours of the scheduled date, a cancellation fee will apply.
- The agency will not be liable for how images are used or edited further once handed over.

For Logo Creation Services:
- Clients must provide initial inputs like brand name, tagline (if any), preferred colors, and references before starting.
- The package includes a maximum of 2–3 design concepts and 2 rounds of revisions; additional changes will be chargeable separately.
- Final logo files (JPEG, PNG, PDF) will be shared after full payment. Editable source files (like AI, PSD) will only be shared if agreed in the package or against additional charges.
- The agency is not responsible for trademark registration of the logo clients must handle it separately.
- Once the logo is approved and finalized, the agency is not liable for future disputes or dissatisfaction.
For Packaging Label Design Services:
- Clients must share accurate product specifications, content (ingredients, disclaimers, mandatory information), and legal compliances before designing.
- Any errors due to incorrect or missing client-provided information will be the client's responsibility.
- The package includes up to 2 rounds of design changes; any extra revisions will be chargeable.
- Final designs will be delivered in print-ready format; the agency is not responsible for final print quality or errors during printing at third-party vendors.
- The agency is not responsible for packaging design rejection by authorities or marketplaces due to missing compliance details not informed by the client.
For Graphic Design Services (General, including brochures, banners, posts):
- Clients must provide clear briefs, dimensions, and content (text, logos, brand guidelines) before starting the project.
- Minor textual corrections are allowed during revisions, but major redesigns will be treated as a new project or will incur additional charges.
- Turnaround time depends on client’s timely approvals and content submission.
- The agency retains the right to use completed designs in its professional portfolio unless agreed otherwise in writing.
- Copyright of designs transfers to the client only after full payment is made.
4. Client Obligations
- Maintain open and timely communication.
- Follow agency recommendations and guidelines.
- Ensure availability of best-selling products to avoid stockouts.
- Maintain product quality to minimize returns.
- Provide accurate account access credentials.
- Notify us of any onboarding activities on platforms like Etsy, eBay, PayPal, Payoneer, etc.
Failure to meet these obligations may affect service outcomes and refund eligibility.
5. Service Operations and Communication
- Services are provided three times per week for one hour each session or as per specific client requirements.
- Services are not provided on major holidays and weekends.
- We do not operate via remote access software like Anydesk.
6. Confidentiality and Data Protection
- We treat all seller data with the utmost confidentiality.
- Both parties agree to maintain the confidentiality of any sensitive information obtained during the course of the Agreement.
7. Intellectual Property Rights
- All materials provided by the seller remain their sole property.
- The agency may feature completed work in its professional portfolio unless otherwise agreed.
8. Service Access and Account Management
- Upon service completion, all account credentials will be handed over.
- The service period terminates 24 hours after completion unless otherwise agreed.
- Post-handover, Docsico (OPC) Private Limited is no longer responsible for the account.
9. Portal-Specific Limitations
- Some services or features may not be available across all marketplaces.
- Clients must comply with the policies of each specific portal.
10. Service Delivery Timelines
- Sellers must provide listings, documents, and other requirements within the contract period.
- Listing services will not be continued post-contract if requirements are incomplete.
11. Brand Store Design and A+ Listing Policy
Brand Store Design:
- Three reference designs will be presented.
- Two rounds of revisions are allowed.
A+ Listing:
- Two reference designs.
- One round of revision permitted.
Clients are encouraged to share preferences for better collaboration.
12. Advertising Budgets and Campaign Management
- Ad budgets are separate from service fees and must be provided by the client.
- Personalized based on portal and category needs.
13. Refund Policy
Refund Policy:
- 1. Eligibility for Refunds:
- Clients must notify the agency of dissatisfaction with services within three days of payment. If notified within this period, the client may qualify for a 50% refund, subject to terms and conditions.
- Clients will not be eligible for a refund if they fail to provide the required documents or information necessary for completing the task as per marketplace guidelines or project requirements. This includes but is not limited to product listings, business information, credentials, and any other documentation required by the relevant platforms.
- 2. Non-Refundable Situations:
- If a seller experiences an account suspension due to their actions during the service period, no refunds will be provided.
- No refunds will be issued if the seller fails to maintain stock or opts to place their account on holiday mode.
- If a seller discontinues business operations during the contract period, no refund will be given.
- Clients who modify account credentials or revoke agency access will result in contract termination with no refunds.
- If the seller fails to adhere to marketplace guidelines, including submitting incomplete or inaccurate information, no refunds will be given.
- Sellers who do not follow the agreed service requirements or terms will also be ineligible for any refunds.
14. Account Suspension, Holiday Mode, and Stock Management
- Agency is not liable for suspensions due to client actions.
- Holiday mode activation by the client voids refund eligibility.
- Clients are responsible for stock availability and adherence to portal compliance.
15. Termination Policy
- We reserve the right to terminate services due to client non-cooperation, non-payment, or breach of policies.
- No refunds will be provided upon early termination by the client.
16. Post-Service Handover & Disclaimer
- Handover includes providing necessary account credentials.
- Post-handover, the client assumes full responsibility.
- New service agreements are required for any post-handover support.
17. Limitation of Liability
- Docsico (OPC) Private Limited will not be liable for any indirect, incidental, or consequential damages resulting from services.
18. Third-Party Services and Tools
- We utilize third-party tools like Google Analytics, Meta Pixels, and others.
- We are not responsible for any issues arising from third-party services.
19. Communication & Notifications
Official communication between the Client and Docsico (OPC) Private Limited will be conducted through email or Telegram. Clients are expected to regularly check these communication channels.
20. Service Frequency
The agency will provide services a minimum of three times per week, for 1 hour per session or as otherwise agreed upon. Any deviations or custom schedules will be discussed and agreed upon in writing.
21. Client’s Compliance with Laws
The Client is solely responsible for ensuring that all products and services they sell comply with local, state, and international laws and regulations. Docsico (OPC) Private Limited is not liable for any legal consequences arising from non-compliance.
22. Limitation of Liability
The agency's liability for any damages (direct, indirect, incidental, or consequential) will be limited to the amount paid by the Client for the specific service causing the issue. Loss of profits or business interruption is excluded from liability.
23. Force Majeure
Neither party will be held responsible for failure to perform obligations under this Agreement due to unforeseen events such as natural disasters, strikes, war, pandemics, or government action.
24. Payments
- Payment Terms: All payments must be made as per the agreed-upon schedule. Late payments will attract a late fee of [X%] per day of overdue amount.
- Payment Gateway: Payments for services are processed through PhonePe or other authorized payment gateways.
- Ad Budget: The Client is solely responsible for paying the advertising budget for campaigns, which is separate from the agency service fee.
25. Onboarding Process:
- 1. Document and Image Submission:
- The seller must provide all necessary documents, images, and other required materials within the stipulated time frame to ensure the onboarding process can proceed smoothly. This includes but is not limited to product images, business registration documents, tax identification details, and any other platform-specific documentation required.
- If the seller fails to provide the required materials within the agreed timeline, they will not be eligible for any refunds. This includes any delays or non-compliance in providing the necessary information.
- 2. Account Setup and Compliance:
- The seller must ensure that the provided documents and images comply with marketplace guidelines and quality standards. The agency will not be responsible for any account rejections, suspensions, or issues arising due to incorrect, incomplete, or non-compliant submissions from the seller.
- The seller must also ensure that all business and product-related details are accurate and up to date during the onboarding process. Any discrepancies or failure to meet marketplace criteria will not be covered under the refund policy.
- 3. Timely Communication:
- Sellers are expected to maintain timely and open communication with the agency during the onboarding process. This includes promptly addressing any requests for additional information or clarification needed to complete the onboarding successfully.
- Any delays in communication or non-cooperation from the seller will not be grounds for a refund or reimbursement.
26. Amendments to Services or Terms
We reserve the right to modify services, pricing, and these Terms at any time. Continued use of services constitutes acceptance of revised terms.
27. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Disputes will be subject to the jurisdiction of courts in Surat, Gujarat.
